Services provided by Nautical Consulting commence once payment is received. Unless otherwise expressly agreed in writing, no refunds will be issued once Nautical Consulting has begun performing the requested service.

Indemnification and Hold-Harmless

You (the “Client”) agree to indemnify, defend, and hold harmless Nautical Consulting, its officers, directors, employees, agents, and affiliates (collectively, the “Indemnitees”) from and against any and all damages, claims, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Any breach by the Client of any representation, warranty, or covenant contained in this Agreement.
    Any failure of the Client to perform or fulfil any of its obligations hereunder.
    The negligence or intentional misconduct of the Client, any subcontractor engaged by the Client, or their respective employees or agents.
    Any failure of the Client, its subcontractors, or their respective employees or agents to comply with any applicable law, regulation, or requirement.
    Any litigation, claim, or proceeding by any third party relating in any way to the Client’s use of the services provided by Nautical Consulting.
    Any taxes, unemployment insurance, or other employment-related liabilities for which the Client is responsible.
    Any claim that the services, or any part thereof, infringe or misappropriate the intellectual property rights of a third party.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Agreement—or the breach, termination, enforcement, interpretation, or validity thereof—shall be resolved by arbitration in the U.S. Virgin Islands under the rules of the American Arbitration Association then in effect. The arbitration shall be conducted in English. The costs of the arbitration shall initially be borne by the Client; however, the arbitrator may award recovery of costs (including reasonable attorneys’ fees) to the prevailing party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the U.S. Virgin Islands, without regard to its conflict-of-law provisions.

These Terms govern all services provided by Nautical Consulting (“Company”) to its clients (“Client”).

1. Acceptance of Terms

By using our website or engaging our services, you agree to these Terms. If you do not agree, you must not use our services.

2. Scope of Services

Nautical Consulting provides marine surveying, inspection, compliance, documentation, and consulting services. All project scopes will be confirmed in writing before commencement.

3. Fees and Payment
Payment in full is required before service unless otherwise arranged.
Once performance begins, all fees are non-refundable.
Failure to pay may result in withholding of reports or deliverables.
Payments may be made via credit card, electronic transfer, or check.

4. Reports and Use

Survey and inspection reports are for the exclusive use of the Client and cannot be reproduced or distributed to third parties without written consent. Nautical Consulting assumes no liability to any party other than the named Client.

5. Limitation of Liability

To the maximum extent allowed by law, Nautical Consulting’s total liability shall not exceed the total amount paid for the specific service giving rise to the claim.

6. Indemnification

The Client agrees to indemnify and hold harmless Nautical Consulting from any damages, losses, or expenses arising from use of its reports or services, except in cases of gross negligence or willful misconduct.

7. Confidentiality

All Client information is confidential and will not be shared except as required by law.

8. Dispute Resolution

Disputes shall be resolved by binding arbitration in the U.S. Virgin Islands under the American Arbitration Association rules. The prevailing party may recover reasonable attorneys’ fees.

9. Governing Law

These Terms are governed by the laws of the U.S. Virgin Islands.
